These Terms and Conditions ("Agreement") govern the wholesale order placed by the customer ("Customer") with the wholesale company ("Rookies") through the order form ("Order Form"). By submitting the Order Form, the Customer agrees to be bound by the terms and conditions outlined below:
1. Order Placement:
a. The Order Form must be completed accurately and include all necessary details, including product name and quantity in agreement with the Customer’s individual contract with the Company.
b. Rookies reserves the right to accept or reject any Order Form in its sole discretion.
2. Wholesale Pricing:
a. Wholesale pricing will be determined by each individual Customer’s contract.
3. Payment Terms:
a. Customer agrees to pay the total amount due as specified in their contract based on what was ordered on the Order Form.
c. Payment methods accepted by Rookies will be communicated separately.
d. In the event of non-payment or late payment, Rookies reserves the right to suspend or cancel the Customer's order and pursue any necessary legal action to recover outstanding amounts including but not limited to all legal fees.
4. Delivery and Shipping:
a. Rookies will make reasonable efforts to fulfill the order within the agreed-upon timeframe, subject to product availability and any unforeseen circumstances.
b. Freight charges, if applicable, will be communicated separately.
c. The risk of loss or damage to the products passes to the Customer upon delivery.
d. Any claims related to damaged or missing products must be reported to Rookies within a time frame of 10 business days.
5. Product Returns and Refunds:
a. Returns or exchanges of products are subject to Rookies’ return policy, which will be communicated separately.
b. Any defective or damaged products must be reported to Rookies within a reasonable timeframe.
c. Refunds, if applicable, will be processed in accordance with Rookies’ refund policy.
6. Intellectual Property:
a. The Customer acknowledges that all trademarks, logos, and intellectual property rights related to the products supplied by Rookies are the sole property of Rookies or its licensors.
b. The Customer shall not reproduce, distribute, or use any intellectual property without the prior written consent of Rookies.
7. Confidentiality:
a. Any confidential information shared between Rookies and the Customer shall be kept strictly confidential and not disclosed to third parties without prior written consent.
8. Governing Law and Jurisdiction:
a. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Rookies is based.
b. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in the same jurisdiction.
9. Entire Agreement:
This Agreement constitutes the entire understanding between Rookies and the Customer concerning the subject matter herein and supersedes any prior agreements or understandings, whether written or oral.
By submitting the Order Form, the Customer acknowledges that they have read and understood these Terms and Conditions and agree to be bound by them.
